1. Agreement to terms

By accessing or using KD Digital's website at kddigital.shop (the “Site”) or by engaging us for any service, you agree to be bound by these Terms of Service. If you do not agree, please do not use the Site or our services.

2. About us

KD Digital is a technology integrator headquartered in Surat, Gujarat, India, providing smart-home automation, commercial automation, IT infrastructure, networking, audio-visual engineering, electronic security, and communication systems.

3. Use of the Site

You agree to use the Site lawfully and not to:

• Violate any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Site, accounts, servers, or networks
• Upload or transmit viruses, malware, or any malicious code
• Scrape, harvest, or republish content without permission
• Impersonate any person or entity, or misrepresent affiliation
• Use the Site to send spam, phishing, or other unwanted communications

4. Quotations and proposals

All quotations are valid for 30 days from the date of issue unless otherwise specified. A quotation does not constitute a binding contract; a binding contract is formed only upon acceptance of a written purchase order or signed agreement. We reserve the right to revise pricing in case of currency fluctuations, manufacturer price changes, or scope changes.

5. Payment terms

Unless otherwise agreed in writing, our standard commercial terms are:

• 50% advance on order confirmation
• 40% on equipment delivery to site
• 10% on commissioning and handover
• AMC, support, and SaaS contracts billed annually in advance

All prices are exclusive of taxes (GST), shipping, and installation unless explicitly stated. Late payments may attract interest at 1.5% per month.

6. Warranty

Hardware carries the manufacturer's standard warranty (typically 1–3 years). Our installation workmanship carries a 12-month warranty from the date of commissioning, covering defective wiring, mounting, and labour. Warranty does not cover damage from misuse, voltage fluctuations beyond IEEE/IS limits, water damage, vermin, force majeure, or unauthorised modifications. Annual Maintenance Contracts (AMC) are available for extended coverage.

7. Intellectual property

All content on the Site — including text, graphics, logos, photos, videos, and code — is the property of KD Digital or its licensors and is protected by Indian and international copyright, trademark, and other laws. You may not reproduce, distribute, modify, or create derivative works without our written consent.

Project drawings, BOQs, low-voltage layouts, and programming code we deliver to you remain our intellectual property. You receive a perpetual, non-transferable licence to use them for the operation and maintenance of your installed systems.

8. Third-party links and brands

The Site references third-party brands such as Crestron, KNX, Dell, Cisco, Lutron, Sonos, Sennheiser, Dolby, and others. All such names, logos, and trademarks belong to their respective owners. Our use of these names indicates authorised partnership, certification, or product compatibility — not endorsement by those brands of any specific deployment.

9. Limitation of liability

To the maximum extent permitted by law, KD Digital's total liability arising out of or related to any contract, the Site, or our services shall not exceed the amounts paid by you in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages including loss of profits, revenue, data, or business opportunity.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded by law.

10. Force majeure

Neither party shall be liable for any delay or failure to perform caused by events beyond reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government action, supply-chain disruption, fire, or natural disasters.

11. Termination

We may suspend or terminate access to the Site or services at any time without notice for breach of these Terms. Upon termination, all sums due become immediately payable, and the surviving clauses (Intellectual property, Limitation of liability, Governing law) shall continue in force.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Surat, Gujarat, India.

13. Changes to these terms

We may update these Terms periodically. Continued use of the Site after changes constitutes acceptance of the revised Terms. The “Last updated” date reflects the most recent revision.
